These Terms of Service (“Terms”) govern your access to and use of the SourceToys website at sourcetoys.com (the “Site”). SourceToys is an independently operated service (“SourceToys”, “we”, “us”). By accessing the Site or submitting an inquiry, you agree to these Terms. If you do not agree, do not use the Site.
1. What SourceToys is — and is not
SourceToys is a business-to-business directory that helps buyers discover and contact verified toy suppliers in China — factories, trading companies, parts suppliers, and showrooms. We provide supplier profiles, product listings, and an inquiry tool.
SourceToys is an intermediary and information service only. We are not a party to, and take no part in, any transaction, negotiation, contract, payment, manufacturing, inspection, shipping, or delivery between a buyer and a supplier. We do not sell products, we do not handle payments, and we do not act as an agent, broker, or guarantor for any supplier or buyer. Any resulting dealings are solely between you and the supplier.
2. “Verified” — what it means
Where a supplier is marked “Verified”, it means the supplier has published products on the Site with a stated origin and category and has provided self-reported profile information. “Verified” does not mean that SourceToys has conducted an on-site factory audit or third-party inspection, or that it warrants the supplier’s capabilities, certifications, legal status, product quality, or performance. You are responsible for conducting your own due diligence before entering into any transaction.
3. No account or payment required
You can browse the Site and submit inquiries or quote requests without creating an account and without making any payment to SourceToys. Submitting an inquiry does not create any obligation to purchase.
4. Inquiries
When you submit an inquiry or quote request, you authorise us to share your inquiry details with the supplier(s) you selected so they can respond to you directly (see our Privacy Policy). Suppliers are independent third parties and respond on their own terms. SourceToys does not control, and is not responsible for, whether or how a supplier responds, the prices, minimum order quantities, lead times, samples, or any other terms a supplier offers.
5. Your responsibilities
You agree to:
- provide accurate and complete information in your inquiries;
- use the Site only for lawful business purposes and in compliance with all applicable laws, including export, sanctions, and product-safety laws;
- not misuse the Site — including scraping, sending spam or malware, attempting to gain unauthorised access, interfering with its operation, or infringing others’ rights; and
- not submit content that is unlawful, misleading, or infringes intellectual-property or other rights.
6. Supplier content and intellectual property
Supplier profiles, product descriptions, images, and other supplier-submitted materials are the responsibility of, and where applicable belong to, the respective suppliers or their licensors. All other content on the Site — including the SourceToys name, logo, text, design, and compilation of listings — is owned by SourceToys or its licensors and is protected by intellectual-property laws. You may not copy, reproduce, or create derivative works from the Site except as permitted by law or with our prior written consent.

7. Disclaimers
The Site and all content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. SourceToys does not warrant that listings, supplier information, or any content are accurate, current, complete, or reliable, or that the Site will be uninterrupted or error-free. Any reliance you place on the Site or on a supplier is at your own risk.
8. Limitation of liability
To the maximum extent permitted by law, SourceToys and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the Site or any dealing with a supplier — even if advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the Site is limited to the greater of the total fees you have paid to us in the preceding 12 months, or US$100.
9. Indemnification
You agree to indemnify and hold harmless SourceToys and its personnel from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Site, your inquiries, your dealings with suppliers, or your breach of these Terms or of any applicable law.
10. Third-party links
The Site contains links to supplier pages and other third-party websites. We do not control and are not responsible for their content, products, or practices. Accessing them is at your own risk.
11. Suspension and changes
We may modify, suspend, or discontinue any part of the Site at any time, and may restrict or terminate access for anyone who breaches these Terms, without notice or liability.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
13. Governing law
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-laws rules, and the competent people’s court in Chenghai District, Shantou, Guangdong, China will have jurisdiction, except where mandatory local law provides otherwise.
